DCS processes your completed order in Delaware not later than one business day after receipt in our office. In some states, we may not be able to sign the Certificate of Formation as an authorized person or on your behalf and will need to deliver it to you for your signature. Once your documents are submitted, the processing time required will vary depending on the state in which you file. Non-expedited orders typically take about 30 days to complete.

	$99.00	A complete limited liability kit providing a "metal-embossed" company seal that includes your company name, state and year of formation, a form of operating agreement and other useful forms, and a SS-4 application for you to easily obtain your employer identification number from the Internal Revenue Service.

Acknowledgement and Authorization to Submit Filing

The Limited Liability Company Agreement reflects the business understanding and intentions of the parties and it must comply with all relevant state and federal laws, rules and regulations. An attorney should assist you in preparing the LLC agreement. We will be happy to refer you to an attorney familiar with Delaware law for any legal advice or assistance with the preparation of a LLC Agreement for a Delaware LLC.

I, a duly authorized member of the Delaware limited liability company named below (the "Company"), hereby authorize and instruct Delaware Corporate Services Inc. ("DCS") to execute and cause to be filed in the Office of the Secretary of State of Delaware, pursuant to the Delaware Limited Liability Company Act, 6 Del. C. Section 18-101, et seq. (the "Act"), a Certificate of Formation of the Company, and in connection herewith, I represent and warrant that each of the members has entered into a limited liability company agreement ("LLC Agreement") with regard to the Company and that DCS is an "authorized person" within the meaning of the LLC Agreement and the Act for such purposes.
