In general, a security interest is an interest in personal property or fixtures that secures payment or performance of an obligation.The Uniform Commercial Code, in particular Article 9, provides a comprehensive scheme for the regulation of security interests.

A security interest is created and becomes enforceable against the debtor when:

The collateral is in the possession of the secured party or the debtor has executed a security agreement
Value has been given
The debtor retains rights in the collateral.

In order to perfect a security interest in certain types of collateral in Delaware, a properly completed financing statement can be filed with the Secretary of State. Perfection and priority of a security interest in collateral may be lost if a financing statement is not filed correctly and / or any other necessary actions are not taken.
