Beyond DCS
DCS provides a range of services to businesses:
- Form your corporation or LLC in any of the 50 states.
- Assist you with the qualification of your Delaware corporation, LLC, or limited partnership to do business in all 50 states and in any foreign country.
- Provide your business registered agent representation and registered office in the state where it is formed and, in the states in which it is qualified to conduct business and in foreign countries through other requested agents in such jurisdictions
Depending on the nature of your business, you may be considered as "doing business" in another state(s) where you plan to maintain offices, hire employees and / or business transactions. What constitutes "doing business" varies from state to state.
If you are considered as "doing business" within a state, most states have laws which require businesses not formed in that state to register that business, for example as a "foreign corporation", "foreign LLC" or "foreign partnership". Some businesses find that the best solution is to incorporate their business in Delaware, and then qualify their Delaware company to do business in other states.
You will need to complete the information required on the state's form, provide that state with a copy of the certificate of incorporation, or the certificate of formation in the case of an LLC, and pay a qualification charge. The state may require a certificate of Good Standing from Delaware.
