Certificate of Incumbency
A Certificate that is often used to prove that a particular individual is authorized to enact legally binding transactions on behalf of a company.
It is a notarized statement that certifies the names of Officers of a Corporation or Members of a Limited Liability Company as of a specific date, and their positions within the entity. This document has many other names: such as a Secretary Certificate, a Certificate of Officers, an Incumbency Certificate, an Officer Certificate, or a Register of Directors.
